1. Acceptance of Terms

By accessing and using AceInfluence ("the Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our Platform.

2. Description of Service

AceInfluence is an AI-driven Influencer Marketing SaaS platform designed for small and medium businesses, brands, and agencies. Our Platform provides:

  • Creator Radar: Intelligent search and discovery of content creators across TikTok, Instagram, and YouTube platforms
  • Bulk Send: Batch email management and personalized collaboration invitation tools
  • AI Assistant: Automated contract generation, pricing suggestions, and performance predictions
  • Contract Management: End-to-end management of influencer marketing campaigns
  • Google Workspace Integration: Email integration for seamless communication management

3. User Accounts

To access certain features of the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Transmit any harmful, offensive, or illegal content
  • Interfere with or disrupt the Platform's operation or servers
  • Attempt to gain unauthorized access to any part of the Platform
  • Use automated systems to access the Platform without authorization
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users without their consent

5. AI-Generated Content

Our Platform uses artificial intelligence to generate content, suggestions, and recommendations. You acknowledge that:

  • AI-generated content is provided for informational purposes and may not always be accurate
  • You are responsible for reviewing and verifying all AI-generated content before use
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content
  • You should exercise your own judgment when using AI-generated suggestions

6. Third-Party Integrations

The Platform may integrate with third-party services, including but not limited to Google Workspace, social media platforms, and email providers. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by AceInfluence and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not modify, reproduce, distribute, create derivative works, publicly display, or otherwise exploit any part of the Platform without our express written permission.

8. User Content

You retain ownership of any content you submit, post, or display on the Platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute your User Content solely for the purpose of operating and improving the Platform.

9. Payment Terms

If you purchase a paid subscription, you agree to pay all fees associated with your subscription. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change our pricing with 30 days' notice.

10. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will cease immediately. You may terminate your account at any time by contacting us.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACEINFLUENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

13. Indemnification

You agree to indemnify and hold harmless AceInfluence, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, violation of these Terms, or infringement of any rights of another.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AceInfluence operates, without regard to its conflict of law provisions.
